Terms & Conditions

1. Definitions
"Yello" / "we" — the managed diagnostic & imaging centre network operated by NDIAN Healthcare Private Limited. "Partner" / "Centre" / "you" — a diagnostic or imaging centre and its owner participating in the network. "Patient" — an end user who books a test or scan. "Platform" — Yello's software, app, and systems. "Partnership Agreement" — the signed contract setting your model and commercials.
2. Partnership models
Yello offers two ways to partner; your model is specified in your Partnership Agreement:
- Fully Managed — Yello operates your centre end-to-end (brand, software, SOPs, procurement, marketing, staff management). You retain 100% ownership and capex.
- Branded Partner (opens in Phase 2) — you operate the centre under the Yello brand and to Yello SOPs and quality criteria; we standardise, accredit and drive demand.
3. Eligibility & accreditation
To partner, your centre must hold and maintain all licences and registrations required for its services, including (as applicable) Clinical Establishments registration, PC-PNDT registration for imaging (MRI/CT/ultrasound), AERB registration for radiation-emitting equipment, and NABL/NABH accreditation or an agreed plan to achieve it. You must keep these valid throughout the partnership.
4. What Yello provides
Depending on your model, Yello may provide: brand and signage; the software stack (booking front-end, LIS, RIS/PACS, CRM, billing, patient app with Smart Reports and Health Score); standardised pricing and packages; marketing and lead generation; centralised procurement; SOPs, training and quality/accreditation support; pooled radiologist reporting; and routed patient demand. The specific scope for your centre is in your Partnership Agreement.
5. Partner obligations
- Deliver services to the agreed clinical quality and turnaround, and honour bookings routed to you.
- Maintain accreditations, licences and statutory compliance at all times.
- Handle patient data per our Privacy Policy and applicable law.
- Use the Yello brand and software only as permitted, and follow Yello SOPs where your model requires.
- Not solicit, pay or accept referral commissions in breach of the NMC Professional Conduct Regulations; demand from Yello is platform demand, not a referral kickback.
- Settle Yello's fees as agreed and provide accurate operational and financial information.
6. Fees & settlement
Fees depend on your model and are set out in your Partnership Agreement. Fees are exclusive of applicable taxes (incl. GST). Settlement cycles and methods are as agreed; we may set off amounts due to us against collections we hold for you.
7. Ownership
In the Fully Managed and Branded Partner models, you retain ownership of your centre, premises, equipment and capex — Yello operates or supports it, it does not own it. Yello owns and retains all rights in its brand, software, systems, SOPs, content and methodologies; nothing in these terms transfers that IP to you beyond the limited licence in §6 below.
8. Brand & IP licence
Where your model uses the Yello brand, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Yello marks solely for the partnership and strictly per our brand and quality standards. The licence ends when the partnership ends. You must not register, dilute, or misuse the marks, or sub-licence them.
9. Data & patient records
Patient personal and health data are handled under our Privacy Policy and the DPDP Act, 2023. Clinical/diagnostic records required to be maintained by the centre remain the centre's responsibility; the Platform processes data to deliver the service and build the patient health record. Each party will implement reasonable security and cooperate on any data-breach response.
10. Term, exit & termination
The partnership runs for the term set in your Agreement. Either party may terminate for material breach not cured within the notice period, or on insolvency/loss of licences. On exit we will run a reasonable transition (return of data, wind-down of brand use). The Agreement may also offer planned-exit options — including a planned buyout or assistance with a strategic sale — where elected.
11. Liability & indemnity
Clinical responsibility for diagnosis, reporting and patient care rests with the centre and its registered medical practitioners. Yello is a managed-network and technology provider, not the treating provider. To the extent permitted by law, neither party is liable for indirect or consequential loss, and each party's aggregate liability is limited as set in the Agreement. Each party indemnifies the other against third-party claims arising from its own breach, negligence, or non-compliance.
12. Compliance & governing law
Both parties will comply with applicable law, including the NMC Professional Conduct Regulations, PC-PNDT Act, AERB requirements, Clinical Establishments Act, NABL/NABH standards, the DPDP Act, 2023, and GST law. These terms are governed by the laws of India; disputes are subject to arbitration seated at Hyderabad under the Arbitration and Conciliation Act, 1996, and to the exclusive jurisdiction of the courts at Hyderabad, Telangana.
13. Changes & contact
We may update these terms; the current version is always posted here with its "last updated" date. For questions: partners@yello.health.
